The17th Party Congress points out " China’s State-owned Enterprises reform should be deepening the system of joint-stock reform of State-owned Enterprises, improving the modern enterprise system, optimizing the state-owned economic layout, and enhancing the state’s economic vitality, control and influence. Based on the modern property rights, State-owned Enterprises develop the mixed-ownership economy", which has been providing a theoretical basis for restructuring of State-owned Enterprises.The restructuring of State-owned Enterprises is a complex social matter, which easily leads to conflicts of benefits. How to deal with the various disputes in the process of restructuring of State-owned Enterprises for the government? What does the government should do or should not do in the restructuring of State-owned Enterprises? On these issues, this article analyzes the development process of domestic and foreign State-owned Enterprises’reform based on the previous research. From the viewpoint of public management science, and on the basis of state, enterprises, markets and society, the article aims to studying that how to implement its rational functions and behavior, discussing the principles government should follow in the whole process of reform, and exploring the matters existed in the government functions and the response measures by taking the example of Inner Mongolia Heavy Industries Group Co.Ltd.
