Although China is the biggest country of producing steel, but our steel industrial concentration is too low. In the next few years, with the release of steel capacity and the reduce of incremental demand, the market competition becomes increasingly fierce, merger and reorganization is the next stage of the main direction of development, and pay attention to internal capital operation of enterprise, carrying out joint restructuring actively would be enhance the competitiveness of enterprises, is the important way to make the international competitiveness of steel enterprise.Steel industry is traditional pillar industry in tianjin, after constructed and developed decades, at last formed the four big state-owned steel enterprise group (tianjin steel tube group, tianjin steel group, tianjin tiantie metallurgical group and tianjin metallurgy group) primarily, supplemented by industry trade pattern of many steel processing system and enterprise. The start of Tianjin steel enterprise restructuring is the reform movement of China’s steel industry. And offering reference to iron and steel enterprise restructuring, scientific development jointly of our country.The first part of the thesis focuses on the introduction to the background of steeling industry around the world. In the following part, the literature review would be covered, which including the mergers and acquisition theory and relevant theories. The development of steeling theory in China is documented in the next part, as well as the analysis of mergers and acquisition environment. It is acknowledged that China has been a strong power in steeling industry worldwide. It is, however, required some improvements in products structure and techniques to be the world leading power. To realized the goals, the mergers and acquisitions is considered to be effective way, and the industrial centralization and reduce of waste is also suggested. In the final part, the case study of Bohai Steeling Group is provided to reach the conclusion that it still need improvement in integration although it have some achievement. In this paper, it contains some elementary research of tianjin steel enterprise restructuring of the integration, in hopes of do a little of my own power to the practice and research tianjin steel industry.
