In the past twenty years,private business has become China’s new economic growing-point. As the rising of stock market,private business is growing putting listed company as its carrier. As a large economic province,private business in Jiangsu has been walking in the forefront of the nation. In recent years,private listed companies of Jiangsu have made great strides both in quantity and quality. But from the present,they still exist some problems in corporate governance and governance performance,which restricts their long-term devlopment. Therefore,seeking ways of improving Jiangsu private listed companies’governance performance is of great practical significance to their healthy development.This paper will closely linked to the development of Jiangsu private listed companies as well as using the theoretic, case and empirical methods to make a systematic analysis and in-depth research on corporate governance and its internal factors of Jiangsu private listed companies. Based on these, the author will give some suggestion. Firstly, the paper will study about the research of scholars local and overseas consisting corporate governance, evaluation of listed corporates’governance performance and its factors as well as define the meaning of corporate governance, corporate governance performance and sum up the research above. Secondly, the paper will tell the status quo of Jiangsu private listed companies’governance and governance performance based on collecting relevant data and information, making a full analysis on ownership structure, operation mechanism of board, functions of supervisory board,inspiring and restraining mechanism of managers. Thirdly, the paper will proposed twevle hypotheses and use a linear regression way to test and analyse them. Finally, the paper will summarize the results and put forward some countermeasures and suggestions.
